1. Use of the Site and Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable federal, state, or local law or regulation
• Attempt to gain unauthorized access to the Site, user accounts, or any systems or networks connected to the Services
• Interfere with or disrupt the operation of the Services, including by introducing viruses, malware, or other harmful code
• Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Services to transmit unsolicited advertising or spam

We reserve the right to suspend or terminate access to the Services for any user who violates these Terms.

2. Accounts and Authentication

Certain features of the Services, including our field operations applications, require an account. You are responsible for maintaining the confidentiality of your account credentials, including any one-time passcodes sent to you, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your credentials.

Accounts provisioned for employees, contractors, or business partners may be subject to additional agreements and may be suspended or deactivated at our discretion, including upon termination of the underlying business or employment relationship.

3. Form Submissions

When you submit information through a form on the Site — such as a contact request, quote inquiry, or employment application — you represent that the information you provide is accurate, current, and complete, and that you are authorized to provide it. Submitting a form does not create a contractual relationship between you and ARM. Any services we provide are governed by separate written agreements.

Information submitted through forms is handled in accordance with our Privacy Policy.

4. SMS/Text Messaging Terms

By providing your mobile phone number to ARM and opting in to receive text messages — whether through a Site form, account registration, or in the course of doing business with us — you agree to receive SMS/text messages from ARM, including account authentication codes, dispatch and scheduling notifications, operational updates, and customer-service messages.

• Message frequency varies based on your account activity and interactions with us.
• Message and data rates may apply. Charges are billed by and payable to your mobile carrier according to your plan.
• Opt out at any time by replying STOP to any message. You will receive a one-time confirmation message, after which no further messages will be sent unless you re-enroll. Opting out may limit access to features that depend on SMS, such as text-based sign-in.

• No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Opt-in data and consent are not sold, rented, or shared, except with service providers as necessary to deliver the messaging service itself.
• Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your mobile carrier and is outside our control.

You represent that you are the account holder or authorized user of the mobile phone number you provide, and you agree to notify us promptly if your number changes or is reassigned.

5. Intellectual Property

The Site and the Services, including all text, graphics, logos, images, software, and other content, are the property of ARM or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Services without our prior written consent, except as reasonably necessary to view and use the Site for its intended purpose.

The Advanced Residuals Management name and logo are trademarks of ARM. Nothing in these Terms grants you a license to use any ARM trademark.

6. Third-Party Services and Links

The Services may contain links to, or integrate with, third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk and subject to the terms of those third parties.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ARM and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Union County, North Carolina, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

12. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

13. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements between you and ARM, constitute the entire agreement between you and ARM regarding the Services and supersede all prior understandings on the subject.
